Overview

These Terms of Use govern your access to and use of deriverse.io, the Deriverse landing website, the swap interface, and related user interfaces, tools, content, and services made available through the website.

By accessing the website, connecting a wallet, requesting a quote, signing a transaction, or otherwise using Deriverse in any capacity, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not access or use the website.

These Terms apply to the website interface. Public blockchains, Solana programs, smart contracts, wallets, and third-party services may operate independently from Deriverse and may also be accessible through interfaces that Deriverse does not own, administer, or control.

Our Privacy Policy also applies to your access to and use of the website.

Eligibility

You may use the website only if you are at least 18 years old, are old enough to form a legally binding contract where you live, have full right and authority to agree to these Terms, and are not prohibited from using the website under applicable law.

You may not use the website if you are subject to sanctions, located in a jurisdiction where access is prohibited, or otherwise barred from using decentralized finance, digital asset, derivatives, or blockchain services under applicable law.

Use of the Website

Deriverse is intended to provide a non-custodial interface for interacting with Solana-based trading infrastructure. The website may help you view information, request quotes, and prepare transactions for your wallet to review.

Deriverse does not take custody of your assets, control your wallet, guarantee transaction execution, guarantee settlement, or reverse blockchain transactions.

You are responsible for reviewing every wallet prompt, transaction, token mint, route, price, fee, slippage setting, leverage setting, position parameter, approval, and program interaction before signing.

You must maintain sufficient balances to complete any transaction, including network fees and any protocol, interface, or third-party fees that may apply.

You should review relevant documentation and perform your own diligence before interacting with the website, any Solana program, any token, any market, or any third-party user interface.

Digital Asset and Trading Risks

By using Deriverse, you acknowledge that digital assets, decentralized finance, derivatives, leverage, liquidity provision, order routing, and smart contracts involve substantial risk. You may lose some or all of your assets.

Transactions may fail, settle at unfavorable prices, incur fees, experience slippage, be delayed, execute partially, or be affected by network congestion, oracle behavior, liquidity conditions, market volatility, wallet issues, software bugs, validator behavior, governance actions, or smart contract vulnerabilities.

Prices of digital assets can change rapidly and may fall to zero. Certain markets may be illiquid or impossible to exit except at materially adverse prices.

Blockchain transactions are generally irreversible. Losses caused by mistakes, malicious activity, wallet compromise, incorrect token addresses, wrong network selection, or unintended transaction approvals may not be recoverable.

Regulatory frameworks for digital assets and decentralized finance are developing and may change. Legal or regulatory actions may materially affect the use, transfer, exchange, value, availability, or legality of tokens, markets, smart contracts, or website access.

Deriverse does not guarantee liquidity, prices, routes, returns, rewards, market availability, token listings, execution, settlement, compatibility, uptime, or continued access to any website feature, program, wallet, token, market, or network.

Acceptable Use

You agree to use the website only for lawful purposes and in accordance with these Terms. You agree that information you provide will be current, complete, and accurate.

You are responsible for wallet security, device security, private key and seed phrase management, transaction approvals, taxes, reporting obligations, and all activity submitted through your wallet.

You will not use the website to violate law, evade sanctions, launder money, finance unlawful activity, manipulate markets, abuse incentives, infringe intellectual property, violate privacy rights, transmit malicious code, or interfere with other users.

You will not attempt to bypass security measures, content filters, access controls, rate limits, geoblocks, or other protections; scrape or overload the website; introduce malware; misrepresent information; or encourage any third party to engage in prohibited conduct.

Deriverse may restrict, suspend, or disable access to the website interface at any time and in its sole discretion, including where it believes a user has violated these Terms or created risk for the website, protocol, users, or ecosystem.

Availability and Changes

Deriverse may remove, revise, or update website content at any time and is not obligated to update content that may be out of date.

The website may integrate or link to wallets, RPC providers, explorers, token lists, analytics tools, documentation, social platforms, and other third-party services. Your use of third-party services is governed by their own terms and policies.

Deriverse does not control and is not responsible for third-party services, tokens, smart contracts, websites, extensions, or content.

Intellectual Property

The Deriverse name, website design, logos, graphics, text, and other materials are owned by Deriverse or its licensors and are protected by intellectual property laws.

Subject to these Terms, you may use the website for its intended purpose. You may not copy, modify, distribute, sell, sublicense, frame, mirror, scrape, or create derivative works from website materials except as allowed by law or with written permission.

If you submit feedback, suggestions, data, or other content to Deriverse, you grant Deriverse a worldwide, royalty-free, sublicensable, transferable, irrevocable license to use, copy, modify, distribute, display, and otherwise exploit that content for operating and improving Deriverse.

Disclaimers

The website is provided on an as-is and as-available basis. To the fullest extent permitted by law, Deriverse disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and error-free operation.

Deriverse does not warrant that the website, data, quotes, transactions, smart contracts, or third-party services will be secure, uninterrupted, accurate, or free from harmful components.

Limitation of Liability

To the fullest extent permitted by law, Deriverse and its contributors, affiliates, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages.

This limitation applies to losses arising from your use of or inability to use the website, wallet activity, blockchain transactions, market conditions, smart contracts, third-party services, or unauthorized access to your assets.

To the fullest extent permitted by law, the total liability of Deriverse and its contributors, affiliates, service providers, and representatives for any claim relating to the website or these Terms will not exceed 100 US dollars.

Indemnification

You agree to indemnify, defend, and hold harmless Deriverse and its contributors, affiliates, service providers, officers, directors, employees, contractors, agents, and representatives from any claim, demand, loss, liability, damages, costs, and expenses, including reasonable attorneys' fees, arising from your use of the website, your wallet activity, your violation of these Terms, your violation of law, or your infringement of any third-party right.

Force Majeure

Deriverse will not be responsible for any delay, failure, loss, or damage caused by events outside its reasonable control, including natural disasters, pandemics, war, civil unrest, labor disputes, internet or hosting failures, power outages, blockchain network failures, validator failures, cyberattacks, regulatory actions, market disruptions, or other emergency conditions.

Deriverse is under no obligation to take corrective action for missed opportunities, failed transactions, lost profits, market movements, or other trading losses caused by such events.

Governing Law and Disputes

Any dispute, controversy, or claim arising out of or relating to these Terms, the website, or your use of Deriverse must be brought on an individual basis and not as a plaintiff or class member in any class, collective, consolidated, or representative action.

To the fullest extent permitted by law, you and Deriverse waive any right to a jury trial and any right to participate in a class action, class arbitration, collective action, or representative proceeding.

The governing law, forum, and dispute process will be determined by Deriverse in accordance with applicable law and any additional terms presented for the relevant service, jurisdiction, or product.

General Terms

Deriverse may perform obligations or exercise rights under these Terms through affiliates, contractors, or service providers. Deriverse may assign these Terms or any rights and obligations under them to a third party.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect. A failure to enforce any provision is not a waiver of the right to enforce it later.

Disclaimers, limitations of liability, indemnities, ownership provisions, dispute provisions, and any other terms that by their nature should survive will survive termination, suspension, or discontinuation of the website.

These Terms and the Privacy Policy constitute the agreement between you and Deriverse regarding your use of the website and supersede prior or contemporaneous communications about that use.
